From Red Tape To Green Lights: Accelerating CDAs In Clinical Research

Confidential disclosure agreements (CDAs) are frequent bottlenecks in clinical research due to excessive complexity and overreach into areas better suited for clinical trial agreements (CTAs). By streamlining CDAs to focus strictly on early-stage information exchange and utilizing mutual confidentiality, sponsors and sites can reduce friction and establish positive partnerships. Addressing common points of tension—such as omitting jurisdiction clauses—minimizes unnecessary delays without increasing legal risk.
To help the industry overcome CDA challenges, the Advarra Site-Sponsor Consortium has developed an open-source CDA template and advocates for the broader use of master agreements. These tools allow parties to avoid repetitive negotiations and prioritize efficiency. Ultimately, simplifying CDA structures and internal site workflows fosters a collaborative environment that accelerates study startup while maintaining essential protections for all stakeholders
